DropPoint on a contractual basis.

Communicate with you:
We use your Personal Information to communicate with you via different channels (such as by
phone, email, chat, WhatsApp) in relation to our Services and to follow up with you on any
requirements for our services that you have indicated an interest in. We send you transaction
related updates through third party platforms such as WhatsApp to update you on the status of
your order / transaction. You can always opt-out of such communication, however, you may then
be unable to receive real time updates of your order status.
Troubleshoot and customer support:
We use your data to analyze performance, improve our services, detect incorrect addresses,
and prevent technical issues. We also use collected data to provide customer support and
respond to you about your requests, questions and comments, and update our records about you.
Identity Proof Details / Documents:
We may collect your National Identity number, or Driving License number, to verify your
identity and prevent misuse of our Services. Please note that you are not obligated to
provide your National ID details and you can choose any other document, such as your
Passport, or Driving License (as per the options provided) as identity proof. If you do
choose to provide us with your National ID, please note that we may use it for identity
verification and NIN based authentication through third party service providers. By agreeing
to provide your details you expressly consent to our use of the same.

Customer satisfaction surveys
We may use your Personal Information to conduct polls and surveys and periodically reach out to you via
phone, WhatsApp, email or chat to understand your experience in using our services. You may choose to not
participate in such surveys by opting out when we reach out to you.

We use your data to understand your preferences and to enhance and customise your experience by offering
tailored services.
Develop new products and services
We use the data collected (including Personal Information and Other Information) to evaluate, optimise,
develop, and improve our business to bring you enhanced, efficient, and cost-effective products and

analysing and enhancing our products, services, websites and applications and improving and maintaining
the quality of our customer services.
Data analysis and improving our services
We use your Personal Information and Other Information to perform market analysis, consumer search and

delivering shipments, email delivery, audits or data analysis, web analytics, IT performance monitoring,
customer relationship management,
evaluating, running and optimizing user experience or growth campaigns, polls and surveys, and third parties
for marketing, promotions and
advertising initiatives.
DropPoint will take all steps reasonably necessary to ensure that your data is treated securely and in
accordance with this Privacy Policy.
Before engaging any Third-Party Vendor, we check their security practices and regularly conduct security and
privacy assessments.
These third parties have access to your Personal Information only to perform tasks on our behalf and are
obligated not to disclose or use it
for any other purpose. We bind our third-party vendors in contracts that include monetary liabilities and
surveillance practices to ensure a
high level of security for your Personal Information.

agreeing to the terms & conditions of use set out below (as revised from time to time) (“Terms”). Please
note that the Terms may be updated from time to time, and it is your responsibility to look through them as

considered acceptance of those changes. Subject to your compliance with these Terms, DropPoint grants you a
limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use and access the
Applications.

You may use the Applications in accordance with our contractual arrangement with you and/or as per these
Terms. You must be over the age of eighteen (18) years and able to understand and agree to the terms,

suits their individual requirements.
DropPoint uses information voluntarily provided by users to optimise their experience on our Applications,
whether to provide personalized elements, or to prepare a better future content base in the interests of our
users. However, the information contained on this web site is not intended to be, and should not be treated as
legal or professional advice. “DropPoint” is a registered trademark. All other trademarks, company names or
logos, and product names referred to in this web site remain the property of their respective owners.
The information, contents, names, images, etc. may be changed, updated, modified and/or improved from time to
time without any notice. DropPoint shall make all reasonable attempts to eliminate and exclude viruses from
the Applications. However, DropPoint does not ensure or accept any liability in respect thereof. Parties using

purpose whatsoever, without restriction and without compensating you in any way. DropPoint is and shall be
under no obligation (1) to maintain any Comments in confidence; (2) to pay you any compensation for any
Comments; or (3) to respond to any Comments.
You agree that any Comments submitted by you to the Website will not violate this policy or any right of any
third party, including copyright, trademark, privacy or other personal or proprietary right(s), and will not
cause injury to any person or entity. You further agree that no Comments submitted by you to the Website will

DropPoint does not regularly review posted Comments, but does reserve the right (but not the obligation) to
monitor and edit or remove any Comments submitted to the Applications. You grant DropPoint the right to use
the name that you submit in connection with any Comments. You agree not to use a false email address,
impersonate any person or entity, or otherwise mislead as to the origin of any Comments you submit. You are
and shall remain solely responsible for the content of any Comments you make and you agree to indemnify
DropPoint and its affiliates for all claims resulting from any Comments you submit. DropPoint and its
affiliates take no responsibility and assume no liability for any Comments submitted by you or any third
party.
Limitation of damages
In no event shall DropPoint be responsible to any person or entity for any loss or damage, whether direct,
indirect, incidental, consequential or otherwise, arising out of access or use or dissemination of information
contained in the Applications, including, but not limited to, damages for loss of profits, data, or damage to
the user`s computer systems even if DropPoint has been advised of the possibility of such damages.

we collect this data, and how we process that data to provide you with best-in class services and updates
regarding your orders. You can access the Privacy Policy associated with the Applications to understand our

Termination Of Use
DropPoint may discontinue, suspend or modify the Applications at any time without notice, and DropPoint may
block, terminate or suspend your and any users access to the Applications at any time in its sole discretion.
Severability
If any part of the provisions contained in these Terms are determined to be invalid, or unenforceable to any
extent, such provision shall be severed from the remaining provisions which shall continue to be valid and
enforceable to the fullest extent permitted by law.
Governing law and jurisdiction
These Terms, and any claims arising out of the use of the information from the Applications shall be governed
by the laws of India and only the Courts in New Delhi, and no other Courts, shall have jurisdiction over the
same.
Violation of terms
If you violate these Terms, DropPoint reserves the right to issue you a warning regarding the violation
and/or immediately terminate or suspend any or all accounts you have created using the Applications and
immediately terminate the contractual agreement you have with DropPoint.
DropPoint Direct Intracity – Terms & Conditions
Effective for: DropPoint Direct intracity services in Uganda.
01. Agreement
These Terms and Conditions (TnC’s) form a legally binding agreement between you (the
"User/Shipper/Sender/Customer, as the case maybe) and DropPoint Freight Services Private Limited (“DropPoint”)
regarding your use of the local intracity services under DropPoint Direct (“Services”). By clicking "I Agree"
or otherwise indicating acceptance, you confirm that you have read, understood, and agreed to comply with the
TnC’s. Any adjustments, variations or updating under the TnC’s are at DropPoint’s discretion. You shall be
responsible for checking these TnC’s from time to time and ensure continued adherence.
02. Definitions
- Consideration
- The amount payable by the User to DropPoint for availing the Services, as determined in accordance with
the applicable Shipment category and other pricing terms set forth herein.
- Consignee
- A person to whom the Shipment has to be delivered, as mentioned in the manifest by the Shipper.
- DropPoint Direct
- A fast, seamless, and reliable doorstep parcel shipping Service across Uganda. It enables
User/Shipper/Sender/Customer to book delivery personnel and vehicles through a mobile or web application for
transporting Shipments within city limits or the designated areas, as applicable and updated from time to
time.
- RTO (Return to Origin)
- The return movement of a Shipment to its original pickup location when delivery to the intended recipient
could not be completed.
- Services
- The intracity DropPoint Direct Services offered by DropPoint, in accordance with the scope and limitations
defined under these TnC’s.
- Shipment
- All the products consolidated, packaged and handed over to DropPoint.
- TAT
- Turnaround Time, i.e., the time period within which DropPoint endeavors to process requests for Services.
03. Acceptance per Shipment
Each time that the User sends any Shipment, the User acknowledges the TnC’s herein.
04. Ownership and Authority
The User warrants and undertakes that all Shipments in respect of which DropPoint is to provide the Services
are either owned by the User or legally in their possession or under their control, and the User is able to
deal with the Shipments as contemplated herein. The User agrees to indemnify DropPoint against any loss,
damage or claim made against DropPoint arising from any lack of authority of the User to contract with
DropPoint for the Services, or any breach of warranty or undertaking given by the User.
05. Taxes and Charges
The User agrees that Services are subject to all the prevailing statutory taxes, duties, fees, charges and/or
costs, applicable from time to time. It shall be the responsibility of the User to comply with applicable laws
on payment of taxes and pay the prevailing charges and duties which shall form part of the invoice raised by
DropPoint.
06. Payment Methods
- Online Payment – Accepted via credit/debit cards, digital wallets, and other approved
electronic payment platforms.
- Cash on Pickup/DropPoint – Available only in select serviceable areas and subject to
eligibility.
07. No Time Commitment
No commitment is made for time bound completion of Services. Any time of arrival/delivery provided at booking
is an estimate only and there may be occasional delays for reasons outside DropPoint’s control. DropPoint
shall not be liable for any loss arising from such delays.
08. Force Majeure
DropPoint shall not be liable for any delay in pickup, mis-delivery, non-delivery or loss or damage caused on
account of an act of God, force majeure and/or circumstances like war, epidemics, pandemics, embargoes, local
disputes, riots/civil commotion, political and other disturbances or accidental fire, accident of vehicle
carrying the goods, arrest, restraint or seizure under legal process, order or restrictions or prohibition
imposed by any governmental authority, explosions or any other cause reasonably beyond the control of
DropPoint.
09. Service Suspension
The User acknowledges and agrees that DropPoint may block their access to the Services, in whole or in part,
at any time and for any reason, at DropPoint’s sole discretion, without prior notice or liability. Such
reasons may include, without limitation, violation of these TnC’s, applicable laws, security risks, or
fraudulent activities. Any restoration of the Services shall be at DropPoint’s sole discretion.
10. Said-to-Contain Basis
The User agrees that all Shipments agreed to be delivered by DropPoint are on "SAID TO CONTAIN BASIS" i.e.,
DropPoint shall be under no obligation to verify the description and contents of the Shipments declared by the
Shipper. The User shall undertake to make proper, true, fair, correct and factual declaration regarding
description and value of Shipments.
11. Prohibited/Contraband Items
All Shipments are booked by DropPoint in good faith in respect of the contents thereof. The Shipment shall
not contain any items or materials which are prohibited/ banned, dangerous, hazardous or considered contraband
by any applicable law. The Shipper agrees to indemnify DropPoint for any loss, damages, costs, expenses,
penalties, fines, liability thereof with regard to such items or materials. Further, the Shipper agrees to
indemnify and hold DropPoint harmless for any loss, damages, costs, expenses, penalties, fines, liabilities of
any nature whatsoever incurred or suffered by DropPoint due to any acts or omissions, breach of applicable law
and/or third party claims solely attributable to the Shipper.
12. Restricted Items
- Oil-based paint and thinners (flammable liquids)
- Industrial solvents
- Insecticides, garden chemicals (fertilizers, poisons)
- Magnetized materials
- Machinery (chain saws, outboard engines containing fuel or that have contained fuel)
- Fuel for camp stoves, lanterns, torches or heating elements
- Infectious substances
- Any compound, liquid or gas that has toxic characteristics
- Bleach
- Flammable adhesives
- Arms and ammunitions
- Dry ice (Carbon Dioxide, Solid)
- Pressurized Containers
- Narcotic Substances
- Precious stones, gems, and jewelry
- Uncrossed (bearer) drafts / cheque, currency, and coins
- Poison
- Firearms, explosives, and military equipment
- Hazardous and radioactive material
- Any pornographic material
- Hazardous chemical item
Further, Shippers will not hand over any secure documents including but not restricted to education
certificates, passport, bank statements, credit cards, debit cards, bank cheques and/or currency items,
passports amongst other documents. DropPoint shall have no liability in such cases if such documents are
handed over for delivery by the Shipper.
13. Communication
DropPoint will use the Shipper/Consignee information as shared, to update and inform the Shipper/Consignee
through SMS, WhatsApp and/or email regarding the delivery status of the Shipment and obtain feedback regarding
the Services only so as to improve the customer experience. DropPoint or its affiliates may share promotional
information or offers regarding the Services provided by DropPoint only at the option of the User, who may opt
out at any time.
14. Shipper Data Responsibility
Shippers will be solely liable for the details entered at the time of booking a Shipment. DropPoint does not
bear any liability for the said information.
15. Delivery Acknowledgment
DropPoint reserves the right to refuse delivery of Shipment if proper acknowledgment, such as signature,
government ID card if required etc., is not given by the Consignee. The Shipper must share the address of the
Consignee along with the pin code and the telephone number to enable prompt delivery and easy identification.
16. Routing and Redirection
The Shipment shall be carried by DropPoint based on the address and pin code of the Consignee and correct
credentials. For any rerouting/redirection, the Shipper shall be liable to pay additional charges as
applicable.
17. Reverse Liability
In the event of mis-declaration of the product in the Shipment where such product causes damage to itself or
any other related goods while under carriage, the Shipper shall be liable for any damages related to the
product including consequential damages.
18. Limitation of Liability
Under no circumstances will DropPoint or any of its directors, officers, employees, agents or contractors be
liable to the Shipper or Consignee for any indirect, incidental, consequential, special or exemplary losses or
damages, mis-delivery, non-delivery of Shipment for any reason whatsoever. DropPoint shall not be liable for
any loss of income, profits, interests and other consequential losses.
19. Packaging Responsibility
The Shipper declares that the Shipment is packed as per packaging guidelines mentioned under the TnC’s. The
Shipper undertakes the entire responsibility in case of any damage to the goods due to faulty or improper
packaging and shall not make any claim against DropPoint for the same. The liability for packaging shall be
completely on the Shipper.
20. Packaging Guidance
Packaging is the material that first envelops the product and holds it. Suitable packing materials include
bubble wrap and rolled corrugated cardboard. For very delicate contents such as glass, it is recommended to
use five or six-ply bubble wrap. Shipper should only use crumpled newspapers as filling material for products
that are not particularly delicate or fragile in nature.
21. Special Handling Stickers
DropPoint does not provide special handling stickers for packages bearing the tag "Fragile", package
orientation markings (e.g., "UP" arrows or "This End Up"), or any other similar markings.
22. Weight and Size Compliance
When loading the vehicle prior to transportation, the Shipper agrees not to exceed the weight and size
details specified by the Shipper at the time of booking. Shipper shall ensure that the items are within these
limits to ensure safe transport and compliance with guidelines and applicable laws. DropPoint has the right to
reject any goods which exceed the weight and size specified at the time of booking.
23. Vehicle Load Limits
- Two-Wheeler (2W): Maximum load capacity of 20 kilograms
- Mini Three-Wheeler (Mini 3W): Maximum load capacity of 50 kilograms
- Sino Truck: Maximum load capacity of 8000 kilograms
24. Delivery Availability and RTO
The Consignee should be available at the drop-off location at the time communicated for delivery. If the
Consignee is not available or refuses delivery, the Shipper will be contacted. If the Shipper is not
available, the Shipment may be returned to the drop-off location or disposed in any other manner suitable and
deemed practical by DropPoint or its agents. In case of non-acceptance of RTO by the Shipper or if the Shipper
is not reachable for RTO, DropPoint reserves the right to levy suitable demurrage/incidental charges for
extended storage of each Shipment.
25. Shipper Cancellations
Shippers may cancel their booking prior to the assignment of a delivery partner, subject to the cut-off time
specified during the booking process. Cancellations made after this window may incur applicable cancellation
charges, which will be deducted from any eligible refund.
26. DropPoint Cancellations
DropPoint reserves the right to cancel bookings at its sole discretion in the event of operational
constraints, unavailability of resources, safety concerns, or other unforeseen circumstances. In such
instances, affected Shippers will be notified promptly and will be eligible for a full refund, where
applicable.
27. Refund Timelines
Where a refund is applicable, the amount will be credited to the original mode of payment within 7–10
business days from the date of cancellation confirmation. DropPoint is not liable for delays caused by payment
gateway providers or banks.
28. Coupons and Promotions
- The maximum amount of discount applicable may be restricted.
- The number of times a coupon code can be redeemed may be limited.
- Coupon applicability may be limited to Mobile, Web, or both.
- If the full value of the coupon is not redeemed during the first use, the remaining balance may be
redeemed in subsequent transactions until the coupon expires, subject to applicable terms. Coupons are
reactivated in case they are unused in the event of the cancellation of the booking.
- DropPoint reserves the right to modify or revoke coupon benefits at its discretion.
29. Governing Law and Dispute Resolution
These TnC’s shall be governed by the laws of Uganda, and the courts in Kampala shall have exclusive
jurisdiction. The Parties will resort to arbitration after attempting an amicable settlement of the dispute.
Any dispute arising out of or in connection with this Agreement, including any question regarding its
existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance
with the arbitration rules of the I CAMEK (The International Centre of Arbitration & Mediation in
Kampala), which rules are deemed to be incorporated by reference in this clause. The seat as well as venue of
the arbitration shall be in Kampala. The Tribunal shall consist of a sole arbitrator. The language of the
arbitration shall be English.
